Introduction
Welcome to LearningWith.AI, an AI learning app ("we", "us", "our"). These Terms of Service ("Terms") govern your access and use of our app, LearningWith.AI ("the App"), and any related services (collectively, "the Services"). By using the Services, you agree to be bound by these Terms. If you are a minor under the age of 18, you must obtain your parent's or legal guardian's permission before using the Services. If you do not agree with any part of these Terms or have not obtained permission from your parent or guardian, please do not use the Services.

Eligibility
To use the Services, you must be at least 18 years old and have obtained permission from your parent or legal guardian if you are under the age of 18. By using the Services, you represent and warrant that you meet the age requirement and have the legal capacity to enter into a binding agreement with us, or have obtained the necessary consent from your parent or guardian.

User Accounts
To access certain features of the Services, you will be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. If you are under 18, your parent or guardian must consent to the creation of your account and supervise your use of the Services.

User Content and Conduct
When using our Services, you may have the opportunity to share content or information. You are responsible for all the content that you post, upload, transmit, email, or otherwise make available on the Services. You agree that any content shared by you through the Services will not violate any laws or infringe any third party's rights, including, but not limited to, intellectual property rights. We reserve the right, at our sole discretion, to use your responses and shared content for marketing purposes and to improve our Services.

License and Restrictions
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your personal, non-commercial use, subject to these Terms and any applicable parental or guardian consent. You agree not to:

a) Use the Services for any illegal or unauthorized purpose.

b) Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.

c) Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, information, software, products, or services obtained from the Services.

d) Access, tamper with, or use non-public areas of the Services, our computer systems, or the technical delivery systems of our providers.

e) Interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services.

Intellectual Property
All content, including but not limited to text, graphics, logos, icons, images, and software, and the arrangement and compilation of such content, are the property of Learningwith.ai or its licensors and are protected by copyright and other intellectual property laws. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, or create derivative works based on the content without our prior written consent.

Third-Party AI Providers
The Services connect you to multiple AI systems provided by third parties. We are not responsible for the content, functionality, or privacy practices of these third-party AI providers. When you interact with these AI systems, your information may be used by these providers for training and other purposes. We recommend reviewing their terms of service and privacy policies to understand their practices. If you are under 18, ensure that your parent or guardian has reviewed and consented to your interactions with these third-party AI providers.

Advertiser Obligations:
We remain up to date and in compliance with the responsibilities of advertisers, including compliance with applicable laws and regulations, accurate representation of products or services, and adherence to advertising guidelines.

Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of the content, services, software, or any other materials provided through the Services.

Limitation of Liability
To the fullest extent permitted by law, in no event shall Learningwith.ai, its affiliates, and their respective officers, directors, employees, or agents be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the Services, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the amount paid by you, if any, for accessing or using the Services.

Dispute Resolution and Arbitration
In the event of a dispute arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be resolved by arbitration. Such arbitration shall be in accordance with the laws of the State of Texas. You also acknowledge and understand that, with respect to any dispute with us, you are giving up your right to have a trial by jury, and your right to serve as a representative, as a private attorney general, or in any other representative capacity, or to participate as a member of a class of claimants, in any lawsuit involving such dispute.

Availability
The Services may be limited in certain regions or on certain devices. We make no guarantees about the availability of the Services.

Updates
From time to time, we may push updates to the Services which may be necessary for the continued use of the Services. You agree that we can automatically push these updates to you without any prior notice.

We reserve the right, at any time, to modify, suspend, or discontinue the Services, or any part thereof, with or without notice. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services or any part thereof.

Indemnification
You agree to indemnify, defend, and hold harmless Learningwith.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other right of Learningwith.ai or any third party. If you are under 18, your parent or guardian also agrees to these indemnification obligations.

Termination
We may terminate or suspend your access to the Services, without prior notice or liability, for any reason or no reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices or applicable laws. We will notify you of any material changes by posting the updated terms on our website or through other communication channels. Your continued use of the Services after the effective date of the updated terms constitutes your acceptance of the changes.

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in the State of Texas to resolve any dispute arising out of these Terms or your use of the Services.

Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Learningwith.ai regarding the Services and supersede any prior agreements, whether written or oral.
